Affiliate Program Terms

The Program lets registered affiliates share VialTests with their audience using personalized referral links and codes. Qualifying referred customers may receive a referral discount, and affiliates may earn commissions on qualifying orders under the rules below.

Enrollment is automatic upon successful registration and profile setup, subject to eligibility, anti-fraud, and security controls.

You may participate only if you:

• have legal capacity to enter into a binding agreement;
• provide materially accurate registration information;
• comply with these Affiliate Terms, the VialTests Terms of Service, the Privacy Policy, and applicable law;
• are not prohibited from receiving payments under applicable sanctions, fraud, or compliance rules.

VialTests may decline, delay, suspend, or reverse enrollment where reasonably necessary for fraud prevention, legal compliance, payment integrity, or Program integrity.

Affiliate registration requires an authenticated account, acceptance of these Affiliate Terms and the Privacy Policy, and completion of profile setup (including a personalized referral code).

You are responsible for:

• keeping login credentials confidential;
• maintaining accurate contact and payout-recipient details;
• ensuring only authorized persons use your affiliate account;
• promptly notifying VialTests of suspected unauthorized access.

Affiliate identity is separate from ordinary customer ordering. Having a customer account does not itself authorize affiliate commissions until Program enrollment is completed.

After activation, you receive a personalized referral code and corresponding referral link for use in permitted promotional channels.

Referral codes must be unique. Codes that are reserved, misleading, infringing, or otherwise unsuitable may be rejected. Self-service code changes may be limited; further changes may require administrator approval.

You must not obscure, spoof, or manipulate referral parameters, cookies, or attribution records.

Under the standard Affiliate Program, referred customers who check out with valid Program attribution may receive a fifteen percent (15%) referral discount on eligible order amounts, subject to checkout rules and the best-single-discount policy described below. New affiliates receive this standard customer referral savings rate.

At the initial Affiliate Program V2 cutover, existing affiliates retain a twenty percent (20%) customer referral discount on eligible order amounts, subject to the same checkout rules. This initial cutover treatment is not permanent, guaranteed, or irrevocable.

The customer referral discount that applies to your referrals is the rate shown in your Affiliate Portal.

The referral discount is a customer benefit. It is not itself an affiliate payout.

The standard Affiliate Program commission rate is ten percent (10%) of the eligible discounted pre-tax subtotal of a qualifying referred order. New affiliates receive this standard commission rate.

At the initial Affiliate Program V2 cutover, existing affiliates retain a ten percent (10%) commission rate. This initial cutover treatment is not permanent, guaranteed, or irrevocable.

Affiliate commission rates and customer referral discounts are established by VialTests and are subject to change at VialTests' sole discretion, at any time.

The applicable rates for each affiliate are displayed in their Affiliate Portal. VialTests reserves the right to modify, increase, decrease, or discontinue these rates or benefits at its discretion.

Changes to rates will apply prospectively and will not retroactively alter commissions already earned on qualifying transactions.

Participation in the Program does not guarantee an increased commission rate, automatic tier advancement, or any future commission adjustment.

Nothing in these Affiliate Terms authorizes retroactive alteration of commissions already earned on qualifying transactions, except through ordinary refund, reversal, chargeback, or fraud adjustments under these Affiliate Terms and applicable law.

Commissions are calculated on the discounted pre-tax order subtotal for a qualifying referred order (order subtotal after applicable discounts, excluding tax and amounts not treated as eligible commission basis under platform rules).

Dashboard figures are estimates derived from ledger records and may not themselves authorize payment.

Checkout applies a best-single-discount policy. Referral discounts do not stack with other discounts that the discount engine determines should not combine.

Where multiple discount sources exist, the platform selects the applicable discount according to its verified precedence rules. Affiliates must not promise customers stacked discounts that the checkout does not allow.

When a visitor uses a valid referral link, VialTests may store a signed referral cookie for up to thirty (30) days to support attribution where an explicit referral code is not later supplied.

Cookie attribution depends on browser settings, consent constraints where applicable, and technical availability. Cookie presence alone does not guarantee a commission.

If a customer presents a valid explicit referral code at checkout, that code takes priority over an earlier referral cookie for attribution.

Affiliates should encourage accurate use of their own code or link and must not interfere with another affiliate’s valid explicit code.

Repeat or subsequent orders qualify for referral attribution and commission only when valid Program attribution applies to that order under these rules (for example, a still-valid cookie window or a valid explicit code at checkout).

Prior referral history alone does not permanently attach a customer to an affiliate.

Self-referrals are allowed. You may use your own referral code when purchasing VialTests services. Eligible self-referred purchases receive the normal referral customer discount, and you earn the normal public commission rate on your own qualifying purchases under Program rules.

Fraudulent, abusive, incentivized, or deceptive referral practices remain prohibited, including fake orders, stolen payment methods, bot traffic intended to manufacture attribution, cookie stuffing, and misrepresentation of VialTests.

A commission may accrue only for orders that are successfully attributed under Program rules and for which payment is confirmed by VialTests’ verified server-side payment processes.

Client redirects, success pages, query parameters, or customer statements are not authoritative proof of payment.

Commission amounts may appear in several states. These states are distinct:

• Accrued — recorded in the affiliate ledger after a qualifying paid order;
• Held — accrued but still inside the commission hold window and not yet eligible for payout;
• Eligible (payable) — past the hold window, not reversed, and available toward payout subject to minimum balance and Program controls;
• Paid — included in a completed payout to the affiliate’s designated recipient details.

Dashboard labels are informational. Eligibility for payout is determined by server-side ledger, hold, refund, and payout controls.

Commissions remain in hold for thirty (30) full elapsed days measured from the trusted payment-confirmation timestamp for the qualifying order.

Hold expiry does not by itself trigger payment. Amounts must also meet payout readiness, minimum threshold, and Program execution controls.

The minimum eligible affiliate payout is $25 CAD. Eligible balances below this amount carry forward to subsequent payout periods until the minimum is reached.

Balances below the minimum remain unpaid until the threshold is met and other payout conditions are satisfied.

Payouts are scheduled on a monthly cycle targeting the 1st of the relevant month in America/Toronto time.

If the 1st falls on a weekend, the scheduled date moves to the next business day.

A scheduled payout date is an eligibility and operations target, not a guarantee that funds have already been transferred. Commissions are earned and tracked in your affiliate account; payouts are processed on the monthly schedule subject to eligibility, verification, and payout-readiness rules.

While automated payout execution is unavailable, VialTests may complete payouts manually to your selected destination after verification. Paid status appears in your account only after payment has been confirmed. Enabling automated payout execution requires separate owner authorization and does not rewrite historical ledger integrity rules.

Unpaid eligible balances below the minimum payout threshold, or unpaid because payout execution is unavailable or recipient details are incomplete, carry forward.

Carry-forward does not erase earned commissions that remain valid under these Affiliate Terms.

If a qualifying order is refunded, reversed, charged back, or otherwise adjusted, related affiliate commissions may be reduced, reversed, or netted accordingly, including after initial accrual.

Adjustments follow platform refund and commission-reversal logic so that affiliates are not paid on amounts customers did not ultimately retain.

The affiliate dashboard provides earnings estimates, referral tools, and account settings for your convenience.

Displayed amounts may lag events, reflect pending holds, or change after refunds and reconciliations. Dashboard estimates are not a guarantee of payment and do not override ledger, hold, or payout controls.

You must promote VialTests honestly and professionally. You are responsible for the content of your promotions, disclosures required by law (including influencer or endorsement disclosures where applicable), and compliance with platform rules of any channel you use.

You must not:

• spam or use unlawful, deceptive, or harassing marketing practices;
• bid on VialTests trademarks in paid search in a confusing or unauthorized manner;
• impersonate VialTests or suggest employment or partnership beyond Program participation;
• use malware, forced redirects, or non-consensual installations to generate referrals.

You must not make misleading or unverified claims about VialTests testing, including analytical performance, safety, medical use, regulatory status, accreditation, turnaround times, methodologies, or Certificates of Analysis, unless those claims are expressly published by VialTests for public use.

Do not invent detection limits, accuracy figures, laboratory ownership claims, or medical advice. Testing information is analytical and informational unless VialTests expressly states otherwise for a specific service.

VialTests grants a limited, revocable, non-exclusive permission to use the VialTests name and publicly provided brand assets solely to promote the Program in a truthful manner consistent with these Affiliate Terms.

You do not acquire ownership of VialTests trademarks, logos, or content. You must not register confusingly similar domains, handles, or marks. On request, or upon termination, you must stop using VialTests brand assets except as needed for residual lawful reference that does not imply ongoing affiliation.

You are responsible for determining and fulfilling your own tax obligations arising from Program commissions, including registration, reporting, and remittance where required.

VialTests may collect tax-related status information you provide for payout administration. Providing incomplete or inaccurate tax information may delay payouts but does not erase valid earned commissions.

VialTests processes affiliate account data, referral codes, attribution cookies, commission and transaction records, and payout recipient details as described in the Privacy Policy.

You must not collect or misuse personal information of referred customers beyond what is lawful for your own marketing. Do not represent that you receive customers’ private testing results or order contents through the Program unless VialTests expressly provides such a feature.

VialTests may suspend or terminate Program access where reasonably necessary for fraud prevention, Terms violations, legal compliance, or Program integrity.

On suspension or termination:

• referral links and codes may be deactivated;
• pending enrollment may be halted;
• valid accrued commissions remain subject to hold, refund, reversal, and payout rules;
• amounts tied to prohibited or fraudulent activity may be adjusted or withheld to the extent permitted by these Affiliate Terms and applicable law.

These Affiliate Terms do not invent unapproved forfeiture powers beyond adjustments needed for refunds, fraud prevention, and Program integrity under verified rules.

VialTests may update Program economics, attribution mechanics, payout calendars, or these Affiliate Terms prospectively as the platform evolves, including affiliate commission rates and customer referral discounts as described in Section 5.

The “Updated” date indicates the document revision shown on this page. Material changes will be communicated where reasonably practical. Changes will not silently rewrite historical consent audit timestamps recorded at signup.

These Affiliate Terms do not authorize undisclosed retroactive destruction of valid earned commissions except through ordinary refund, reversal, chargeback, or fraud adjustments.

Program changes remain subject to applicable law and any separately enforceable written agreement with an affiliate, if one exists.

Except where mandatory law requires otherwise, these Affiliate Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, consistent with the VialTests Terms of Service.

Nothing in these Affiliate Terms deprives a party of mandatory protections or remedies available under applicable law.
